Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MyEdSpace, Inc. ("MyEdSpace," "we," "our," or "us") governing your access to and use of the MyEdSpace website, mobile applications, and all related educational services (collectively, the "Service"). By creating an account, enrolling a student, or otherwise using the Service, you represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction), that you have the authority to enter into this agreement on your own behalf and on behalf of any minor student you enroll, and that you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after any modification constitutes your acceptance of the updated Terms.

Description of Service

MyEdSpace provides live, online mathematics instruction for K–12 students based in the United States. Our offerings include scheduled live class sessions taught by qualified instructors, access to course materials and recordings, and related academic support tools made available through our platform. Courses are organized by subject and grade level, currently encompassing Pre-Algebra, Algebra I, Geometry, and Algebra II.

The Service is intended for educational use by enrolled students under the supervision and account management of a parent or legal guardian. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable advance notice where practicable.

Accounts and Registration

To access the Service, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@myedspace.com if you suspect any unauthorized use of your account. MyEdSpace is not liable for any loss or damage arising from your failure to protect your login credentials.

You may not create an account on behalf of another person without proper authorization, use a false identity or impersonate any other person, or register multiple accounts for the purpose of circumventing any restriction or policy. We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Billing

Access to MyEdSpace courses is provided on a subscription basis. By enrolling in a subscription plan, including any promotional or trial offer, you authorize MyEdSpace to charge the applicable fees to your designated payment method on the billing cycle selected at checkout (monthly or otherwise as stated at the time of purchase).

Trial offers (including our $7 introductory pass) provide access to the Service for the stated trial period. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid plan at the then-current subscription rate and you will be charged accordingly. All subscription fees are stated in US dollars.

Subscription fees are billed in advance of each billing period. MyEdSpace reserves the right to change subscription pricing at any time; price changes will be communicated to you at least 14 days before they take effect for existing subscribers. Your continued use of the Service after a price change takes effect constitutes your agreement to the new pricing.

If a payment fails, we may suspend access to your account until payment is received. We are not responsible for any fees charged by your bank or payment provider in connection with your subscription.

Cancellations and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at legal@myedspace.com. Cancellation takes effect at the end of the then-current billing period, and you will retain access to the Service through that date. We do not provide prorated refunds for partial billing periods unless required by applicable law or otherwise stated in a specific promotional offer.

Refund requests outside of any stated promotional guarantee are evaluated on a case-by-case basis at MyEdSpace's sole discretion. To request a refund, please email legal@myedspace.com with your account information and the reason for your request.

Acceptable Use

You agree to use the Service solely for its intended educational purpose and in compliance with these Terms and all applicable laws and regulations. You may not use the Service to engage in conduct that is unlawful, harmful, harassing, abusive, defamatory, obscene, or otherwise objectionable.

You agree not to: share your account credentials with any person outside of the enrolled student and their supervising parent or guardian; record, reproduce, or redistribute live class sessions or course materials without prior written consent from MyEdSpace; attempt to reverse engineer, decompile, or gain unauthorized access to any part of the platform; use automated tools, bots, or scripts to access the Service; or interfere with the technical operation of the platform or the experience of other users.

MyEdSpace instructors and staff are expected to maintain a professional and respectful classroom environment. Students and parents are expected to reciprocate that respect. We reserve the right to remove any participant from a session, or to terminate an account, for conduct that disrupts the learning environment or violates these Terms.

Intellectual Property

All content made available through the Service — including but not limited to lesson plans, videos, recorded sessions, worksheets, assessments, software, and the MyEdSpace brand and trademarks — is owned by or licensed to MyEdSpace and is protected by United States and international intellectual property laws. Nothing in these Terms transfers any ownership interest in MyEdSpace's intellectual property to you.

Subject to your compliance with these Terms and payment of applicable subscription fees, MyEdSpace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your personal, non-commercial educational purposes. This license does not permit you to copy, reproduce, sell, sublicense, distribute, publicly display, or create derivative works from any MyEdSpace content without our express prior written consent.

If you provide MyEdSpace with feedback, suggestions, or other input regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use that input for any purpose without compensation or attribution to you.

Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party tools and platforms (such as video conferencing software). These integrations are provided for convenience only. MyEdSpace does not control, endorse, or assume responsibility for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by those third parties' own terms and privacy policies.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYEDSPACE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MyEdSpace does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee any specific academic outcomes, test scores, or educational results from participation in our programs. Educational success depends on many factors, including a student's individual effort and engagement, which are outside our control.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MYEDSPACE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, INSTRUCTORS, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MYEDSPACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL MYEDSPACE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MYEDSPACE IN THE TWELVE-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

Indemnification

You agree to defend, indemnify, and hold harmless MyEdSpace and its affiliates, officers, directors, employees, instructors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any content you submit or transmit through the Service; or (d) your infringement of any third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, with proceedings conducted in English. The arbitrator's decision will be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and MyEdSpace each waive any right to a jury trial.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

Termination

MyEdSpace reserves the right to suspend or terminate your access to the Service at any time and for any reason, including but not limited to a material breach of these Terms, non-payment of subscription fees, or conduct that MyEdSpace determines to be harmful to other users or to the integrity of the platform. Upon termination for cause, any outstanding subscription fees remain due and payable. Provisions of these Terms that by their nature should survive termination will do so, including but not limited to the sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

General Provisions

These Terms, together with our Privacy Notice, constitute the entire agreement between you and MyEdSpace regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign any rights or obligations under these Terms without our prior written consent; MyEdSpace may freely assign its rights and obligations.
